Definitions
Yellowthread Limited is the company operating the Yoursay247, Testintime, Recalls247 and any other Service/s as they become available, hereafter being referred to as "The Company" and "The Service" respectively.
"Recalls247", “TestinTime” and “Yoursay247” are managed Service/s provided by Yellowthread Ltd supplied by the Service for the sole benefit of the Subscriber. The Service effectively administers product recalls, vehicle tests and recipient surveys supplied by the Subscriber or a third party supplier to the Subscriber. The Service is available worldwide.
"Recalls247", "Testintime" and "Yoursay247" system software may be available to the Subscriber under licence for the sole benefit of the Subscriber. The Service is available worldwide. The Subscriber is not deemed a licensor, unless a specific licence agreement has been formally approved, signed and dated, by the Company, for the appropriate period.
"The Subscriber" is the Yellowthread client or customer who has entered into a usage, managed Service or licence agreement that has been formally approved, signed by a representative of the Company and dated for the appropriate period.

Security
The Company undertakes to provide secure site status, provided by an independent reputable provider, to the Service. The Subscriber will be issued with a user name and password to access the Service on-line administration area and will be responsible for the security of its user name and password. The Company will not be liable for any unauthorised use of the Subscriber's account.
Data Protection
The Company is registered with the Data Protection Registrar in England, Registration No. Z8167516 and accept and implement the conditions of the Data Protection Act 1998. The Company is regulated by ICSTIS (Independent Committee for the Supervision of Telephone Information Service/s) and accept and implement the conditions. The details of these conditions will be available to the Subscriber. The Subscriber undertakes to abide and implement all ICSTIS conditions when operating any ICSTIS regulated program provided by the Service.
Intellectual Property Rights
All intellectual property rights in the information and content available on this site belong to The Company or its licensors. Much of the content is protected by copyright, trade mark and other laws. It may be copied only for your personal use. No content should be modified, performed, published or transferred to anyone else or used for any commercial purpose (unless otherwise stated on the site). Except to the extent permitted by applicable law, you must not disassemble, de-compile, reverse engineer or otherwise break or attempt to break encryption protecting any content downloaded from The Service.
Service Maintenance
The Company reserves the right to shut down the Service for routine maintenance. Scheduled shutdowns will not have a duration exceeding 4 hours and will take place as necessary between 0100 and 0500 hours. If emergency maintenance is required, we reserve the right to shutdown the Service of any of our products without notice or compensation, albeit we will endeavour to notify the Subscriber, where possible.
Acceptable Use Policy
The Subscriber must not use the Service to send communications, letters, emails, faxes, text messages or any other media provided by the Service with content that is obscene, offensive, threatening, libellous, racist or otherwise objectionable. Utilising the Service for subversive, illegal or immoral activities is also strictly prohibited. The Company reserves the right to suspend or terminate the account of any Subscriber who is found to be in breach of this policy.
Links to Other Sites
The Company have not approved or checked any third party sites linked to the Service sites and it is not responsible or liable in any way for their content. Your use of such third party sites will be subject to the terms and conditions of those sites.
Payment, Service Charges, Taxation and Termination
Charges and charging are agreed with each individual customer prior to the commencement of trading. Yellowthread reserve the right to increase fees and contract charges, on each trading commencement anniversary, by up to 2% above the annual RPI (or equivalent) increase for the previous 12-month period.
Payments, for the Service, must be made in favour of Yellowthread Limited and can be through BACS cheque or credit/debit card. All Service set-up fees are payable, in full, prior to the commencement of the Service/s provided, unless otherwise stated within the Service/s quotation. All bespoke software or system enhancements are payable, in full, immediately upon the Subscribers sign-off of the specification and the Company’s acceptance of such. All fixed rental and datum level managed Service fees are payable 1 month in advance. All datum excess, excessive use, non agreed Service and any other charges incurred by the Subscriber or the Company in the use or administration of the contracted or agreed Service are invoiced on the 1st working day of the month following the month of supply and are payable within 14 days of the invoice date.
Where automatic payment is taken by credit/debit card, the Company will notify the Subscriber of the charges due, by email to the Subscribers stipulated email address, a minimum of 5 working days prior to the payment due date. Enquiries regarding charges and payment should be directed, in all instances, to the Company by telephone (0844 4770401) (calls may be recorded for training purposes) or by email to info@yellowthread.com clearly marked 'Accounts’. The Company reserves the right to suspend all Services immediately, without notice, if the payment is not received by the due date. Late payment will be subject to a £15 per invoice administration charge and a compounded interest rate of 2% per month. All Service and late payment charges are subject to VAT and any other taxes imposed by government legislation at the time of the Service provision or late payment charge date.
All contracts are for a minimum period of 12 months, unless otherwise stated within the Service/s quotation. The Company must receive written notice of termination from the Subscriber, of the Service at least 60 days prior to the minimum rental/managed or contract period termination date. Failure to advise the Company of termination will result in the application of charges and automatic contract extension for a period of not less than 90 days.
Contract Period
Variable contract periods are available. Yellowthread require each customer to confirm period of agreement prior to commencement of trading.
Liability
The Company shall not be liable to the Subscriber for loss or damage arising out of or in connection with the use of the Service/s including but not limited to:-
• any loss of profits, loss of earnings, loss of anticipated earnings, goodwill or revenue
• any loss or corruption of data; or
• any indirect or consequential loss
Third Party Services
The Company accepts no liability for the failure of third party Service/s and / or errors in their delivery.
Force Majeure
All parties to these terms and conditions will be exempted, subject to reasonable notice from these conditions. Circumstances of force majeure shall be deemed to include, inter alia, the actions of government authorities to take action, new or amended legislation, retirement of personnel, illness or other reduction in work capacity, death, labour market conflicts, blockades, civil unrest, lightning, fire, flooding, loss or destruction of data or property of material significance, fuel shortages, defects or delays in delivery of goods and Service/s by suppliers.
Severance
If the whole or any part of any provision of these terms and conditions is found to be unlawful, void or unenforceable, the remainder of such provision(s) shall continue in full force and effect.
Law and Jurisdiction
These terms and conditions are governed by English law and the English courts shall have exclusive jurisdiction.
