All i247 Group ™ corporate grouping company sites are owned and run by i247 Group™. By using these sites you agree to be bound by these terms and conditions and by any other terms and conditions, rules or guidelines, which appear on the site.

We may amend these terms and conditions from time to time without notice - please check for changes on a regular basis. We cannot be held responsible or liable for errors or omissions within these terms and conditions.

Yoursay247™ and Activate247™ are trading brands and managed services provided by Yellowthread Ltd.
i247 Group™ is hereafter referred to as ‘Group’ .

The Group administer outbound, inbound and billing services.

The Services provided by the i247 Group are hereafter referred to as ‘Services’.

"Customer" is the Group client or customer who has entered into a usage, managed service or licence Agreement to employ the Services, which has been formally approved and signed by a representative of the Group and dated for the appropriate period.


Privacy Policy
Please refer to our Privacy Policy, for more information about how we will use the information, which you provide on registration.

Security
The Group undertakes to provide secure site status, provided by an independent reputable provider, to the Services. The Customer (and their representatives, if applicable within the Agreement) will be issued with a user name and password to access the Services on-line administration area, where applicable and appropriate, and will be responsible for the security of the issued user name and password. The Group will not be liable for any unauthorised use of the Customer's account.

Data Protection
The Group is registered with the Data Protection Registrar in England under the Data Protection Act 1998:

The Group is Payment Card Industry Data Security Standard (PCI-DSS) compliant

The administration areas of all Group sites are housed on secure servers and protected by
C-O-M-O-D-O® AUTHENTIC SITE® and GeoTrust® security.


Intellectual Property Rights
The ‘Group Web Sites’. All Software, Sites and Services contained within the ‘Group Web Sites’ material are the property of the Group and are protected by copyright and other intellectual property rights. The Group grants the Customer a non-transferable licence to use ‘Group Web Sites’ for the duration of the Customer Agreement by the Group.

 

Customers will use the Software and any other equipment and materials supplied by the Group solely for the purposes of operating ‘Group Web Sites’.

 

Much of the content is protected by copyright, trade mark and other laws. No content should be modified, performed, published or transferred to anyone else or used for any commercial purpose (unless otherwise stated on the site). Except to the extent permitted by applicable law, the Customer, or their representative, must not disassemble, de-compile, reverse engineer or otherwise break or attempt to break encryption protecting any content downloaded from ‘Group Web Sites’.


Service Maintenance
The Group reserves the right to shut down Services for routine maintenance. Scheduled shutdowns will not have a duration exceeding 4 hours and will take place as necessary between 0100 and 0500 hours. If emergency maintenance is required, we reserve the right to shutdown the Services without notice or compensation, albeit we will endeavour to notify the Customer, where possible.

Acceptable Use Policy
The Customer must not use the Services to send communications, letters, emails, faxes, text messages or any other media provided by the Services with content that is obscene, offensive, threatening, libellous, racist or otherwise objectionable. Utilising the Services for subversive, illegal or immoral activities is also strictly prohibited. The Group reserves the right to suspend or terminate the Agreement of any Customer who is found to be in breach of this policy.

Links to Other Sites
The Group have not approved or checked any third party sites linked to the Services or ‘Group Web Sites’ and it is not responsible or liable in any way for their content. The Customers use of such third party sites will be subject to the terms and conditions of those sites.


Payment, Service Charges, Taxation and Termination
Charges and charging are agreed with each Customer prior to the commencement of the Agreement. The Group reserve the right to increase its charges, on each trading anniversary of the Customers Agreement, by up to 2% above the annual RPI (or equivalent) increase for the previous 12-month period, unless alternative arrangements are detailed within the Customers Agreement.


All Services set-up fees are payable, in full, prior to the commencement of the Agreement. All bespoke software, system enhancements or Customer specific modifications are payable, in full, immediately upon the Customers sign-off of the Group specification and the Groups acceptance of such.

 

All fixed cost and datum level Services fees are payable 1 month in advance. All datum excess, excessive use, non agreed Services and any other charges incurred by the Customer in the use or administration of ‘Group Web Sites’ or agreed Services will be invoiced on the 1st working day of the month following the month of supply and are payable within 14 days of the invoice date.


Enquiries regarding charges and payment should be directed, in all instances, to the Company by telephone (0844 4770401 - calls may be recorded for training purposes) or by email to info@i247group.com clearly marked 'Accounts’. The Company reserves the right to suspend all Services immediately, without notice, if payment is not made in accordance with the Agreement.


Late payment will be subject to a compound interest rate of 2% per month.

 

All Services and late payment charges are subject to VAT and any other taxes imposed by government legislation at the date of the provision of the Services or late payment interest charge.


Agreed Period
Variable Agreement periods are available (Minimum 12 months but Services dependent). The Group and the Customer will agree a minimum Agreement period, detailed within the Agreement, prior to the commencement of the Services.


Liability
The Group shall not be liable to the Customer for loss or damage arising out of or in connection with the use of the Services including but not limited to:-


• any loss of profits, loss of earnings, loss of anticipated earnings, goodwill or revenue
• any loss or corruption of data; or
• any indirect or consequential loss

Third Party Services
The Group accepts no liability for the failure of third party Services and / or errors in their delivery.

Force Majeure
All parties to these terms and conditions will be exempted, subject to reasonable notice from these conditions. Circumstances of force majeure shall be deemed to include, inter alia, the actions of government authorities to take action, new or amended legislation, retirement of personnel, illness or other reduction in work capacity, death, labour market conflicts, blockades, civil unrest, lightning, fire, flooding, loss or destruction of data or property of material significance, fuel shortages, defects or delays in delivery of goods and Services by suppliers.

Severance

If the whole or any part of any provision of these terms and conditions is found to be unlawful, void or unenforceable, the remainder of such provision(s) shall continue in full force and effect.

Law and Jurisdiction
These terms and conditions are governed by English law and the English courts shall have exclusive jurisdiction.
